1. About VyroIQ

The Services are operated by VyroIQ LLP, an entity established in India.

VyroIQ provides sports technology and pickleball performance analytics intended to help players understand and improve their performance.

2. Eligibility and accounts

You must provide accurate, current, and complete information when creating an account and keep your information up to date.

A name is required to create a player profile. Other profile information, such as playing level, dominant hand, personal goals, and profile photograph, may be provided where supported. A profile photograph is optional.

You may register or sign in using supported methods, including email and password, Google, or Apple.

An account is intended for the individual user to whom it belongs. You must not share your account credentials or allow another person to use your account in a manner that violates these Terms.

You are responsible for maintaining the security of your credentials and for activity conducted through your account, subject to applicable law.

Age eligibility: VyroIQ is intended for players of different ages. Any minimum-age requirements, parental or guardian consent requirements, and additional safeguards will be governed by the applicable law and the eligibility rules published by VyroIQ. The final version of this section must specify the minimum permitted age and any applicable consent arrangements before publication.

3. Description of the Services

Depending on your device, subscription, and product configuration, VyroIQ may provide:

• Pickleball shot and session analytics.
• Paddle impact-location analysis and hotspot visualizations.
• Performance summaries, skill scores, consistency indicators, and improvement trends.
• Tools intended to help players understand their strengths and areas for improvement.
• Virtual Coach or similar informational recommendations, where available.
• Additional features introduced or updated from time to time.

Available features may differ by subscription plan, platform, region, or hardware compatibility.

VyroIQ may modify, update, improve, suspend, or discontinue features where reasonably necessary for operational, technical, commercial, or legal reasons. Where required by law, we will provide appropriate notice or remedies.

4. Subscriptions and paid features

VyroIQ offers paid subscriptions and one-time purchases. The applicable price, billing frequency, features, duration, and other material purchase conditions will be displayed before you complete a transaction.

Unless a specific offer states otherwise, VyroIQ does not provide a free trial of paid subscription features.

4.1 Recurring subscriptions

Subscriptions designated as recurring will renew automatically at the end of each billing period unless cancelled before renewal in accordance with the applicable provider's cancellation process.

By purchasing a recurring subscription, you authorize the applicable payment provider to charge the payment method associated with your purchase for the displayed subscription price and applicable taxes or other disclosed charges.

The renewal frequency, price, and applicable cancellation instructions will be presented during checkout or in the relevant subscription-management interface.

4.2 Payment providers

Payments may be processed through third-party providers, including Razorpay, Stripe, Apple App Store, and Google Play, depending on the purchase channel.

Your transaction may also be subject to the relevant provider's terms, privacy practices, payment procedures, and refund requirements. VyroIQ does not receive or control all information handled directly by these providers.

You must use an authorized payment method and provide accurate billing information.

4.3 One-time purchases

VyroIQ may offer one-time purchases that provide different types of entitlements, including feature access, usage credits, or access for a specified duration.

The entitlement applicable to each purchase will be described at the time of purchase. A one-time purchase does not automatically constitute a recurring subscription unless expressly stated during checkout.

4.4 Prices and taxes

Prices and applicable charges will be displayed before purchase. The final amount may vary by country, currency, applicable taxes, platform, or payment channel.

VyroIQ may change prices for future purchases or renewals, subject to applicable law and any notice or consent requirements. Changes to an existing subscription will be communicated where required by law or the applicable provider's rules.

5. Cancellation and subscription expiry

5.1 Cancellation process

You must cancel a subscription through the payment provider or platform through which you purchased it, such as the relevant app-store subscription-management interface or payment-provider process.

Contacting VyroIQ alone may not cancel a subscription administered by a third-party provider.

5.2 Effect of cancellation

Unless the applicable purchase terms or mandatory law provide otherwise, cancellation prevents future renewals and paid access continues until the end of the current paid billing period.

Cancellation does not automatically delete your VyroIQ account.

5.3 Expired subscriptions

When a paid subscription expires or is not renewed, access to premium analytics and subscription-restricted features may be locked.

The final product-specific terms will identify which features remain available after expiry and whether historical reports or analytics can be restored following renewal.

Locking access to premium features does not, by itself, mean that the underlying personal data has been deleted. Data handling remains subject to the Privacy Policy and applicable law.

6. Refunds and payment disputes

Refund requests are reviewed on a case-by-case basis, subject to the applicable payment provider's procedures, the circumstances of the request, and mandatory legal rights.

Where the purchase was made through an app store or other third-party provider, you may need to submit your request through that provider's refund process.

Nothing in these Terms excludes a refund, cancellation right, statutory remedy, or other protection that cannot lawfully be excluded under applicable law.

The specific refund rules for subscriptions, one-time purchases, unused credits, technical failures, and hardware purchases should be provided in the relevant purchase terms or a separate Refund Policy.

7. Acceptable use

You agree to use the Services lawfully and only for their intended purposes.

You must not:

• Copy, reproduce, distribute, resell, sublicense, or commercially exploit the Services or their proprietary components without authorization.
• Reverse-engineer, decompile, disassemble, or attempt to derive source code from the Services except to the extent expressly permitted by applicable law.
• Scrape, harvest, extract, or systematically collect data from the Services without authorization.
• Manipulate shot measurements, analytics, sensor inputs, or other information in a way intended to mislead users or compromise the integrity of the Services.
• Circumvent subscription restrictions, access controls, authentication mechanisms, or security measures.
• Introduce malware, interfere with service availability, or attempt unauthorized access to any system or account.
• Use the Services for unlawful purposes or infringe another person's rights.
• Misrepresent your identity or provide false information in connection with your account or purchases.

You must not upload another person's information or content without an appropriate legal basis and any required permissions. VyroIQ's current functionality does not provide a general facility for uploading third-party player data.

8. Ownership and intellectual property

VyroIQ and its licensors retain all rights, title, and interest in the Services and their proprietary components, including applicable software, source code, branding, trademarks, visual design, interface elements, documentation, analytical methods, and platform technology.

These Terms grant you a limited, personal, non-exclusive, non-transferable, revocable right to use the Services for their intended purpose, subject to your subscription and these Terms.

You retain any rights you hold in personal information you provide. Your personal data is not transferred to VyroIQ as ownership merely because it is processed by the Services.

Subject to applicable law, VyroIQ may use the data processing, analytical methods, and platform technology necessary to operate and improve the Services in accordance with the Privacy Policy. This does not grant VyroIQ unrestricted rights to use identifiable personal data for unrelated purposes.

You may not publish, distribute, resell, or commercially exploit VyroIQ reports, analytics, or proprietary materials where doing so is prohibited by the applicable feature terms or these Terms. Any permitted personal use will be governed by the conditions displayed for the relevant feature.

Nothing in these Terms transfers ownership of a user's personal data or overrides mandatory rights under applicable law.

9. Sports analytics and Virtual Coach disclaimer

VyroIQ is intended to support recreational improvement, training, competitive coaching, and performance analysis.

The Services may generate metrics, visualizations, scores, trends, or recommendations based on available inputs and analytical methods. These outputs are intended to help users understand their performance and should be interpreted in the context of the product's design and limitations.

A qualified coach may provide guidance concerning the interpretation of sports performance. However, the availability of coaching expertise does not constitute a guarantee that every metric, estimate, or recommendation will be accurate in every circumstance.

Virtual Coach recommendations and other automated insights are informational only. They do not replace individualized professional coaching, medical advice, diagnosis, or treatment.

You remain responsible for your training decisions and for seeking qualified professional advice where appropriate. You should not rely solely on an app-generated score or recommendation when making decisions that may affect your health or safety.

Nothing in this section excludes liability where such exclusion is prohibited by applicable law.

10. Hardware warranty

Where VyroIQ sells a physical product covered by its limited hardware warranty, the following warranty applies to the original purchaser, subject to the final warranty conditions.

VyroIQ warrants that new VyroIQ products covered by this warranty will be free from defects in materials and workmanship under normal use and for the purpose for which the product was designed, for a period of one (1) year from the date of purchase or until 25,000 shots have been captured by the product, whichever occurs first (the "Product Warranty Period").

This warranty applies only to products covered by the warranty and used under normal operating conditions.

The final published warranty must specify the procedure for submitting a claim, the proof of purchase required, the applicable remedies, exclusions, and any shipping or replacement arrangements.

To the extent permitted by applicable law, the limited warranty does not replace or exclude any mandatory statutory rights or remedies available to the purchaser.

11. Availability, maintenance, and service interruptions

VyroIQ aims to provide a reliable service but does not guarantee uninterrupted or error-free availability at all times.

The Services may become temporarily unavailable due to scheduled maintenance, hosting-provider outages, third-party library failures, network issues, security incidents, software updates, or circumstances beyond our reasonable control.

Where reasonably practicable, we will take appropriate steps to restore service and communicate significant interruptions.

Nothing in these Terms excludes obligations or liabilities that cannot lawfully be excluded.

12. Privacy and personal information

Your use of the Services is also governed by the VyroIQ Privacy Policy, which explains how we collect, use, store, disclose, and delete personal information.

The Services may process account details, player profiles, session history, shot analytics, paddle impact data, derived performance indicators, and technical information, as described in the Privacy Policy.

We do not sell personal data as a business practice. Information may be processed by service providers and technology partners where necessary to operate the Services, subject to applicable law and the Privacy Policy.

You may review and correct supported profile information and request account deletion through the available account controls. Data handling following deletion is governed by the Privacy Policy and applicable legal retention requirements.

13. Account suspension and termination

You may stop using the Services and delete your account using the available account-deletion functionality.

VyroIQ may restrict, suspend, or terminate access where reasonably necessary to address fraud, unlawful activity, material breaches of these Terms, security risks, abuse, or other conduct that threatens the Services or other users.

Where reasonably practicable and legally permitted, VyroIQ will notify the affected user by email and provide information about the reason for the action and any available review process.

Serious security threats, suspected fraud, or unlawful activity may require immediate suspension or restriction before notice can be provided.

Where termination is permanent, access to the account may be disabled. The handling of personal data, outstanding payments, subscription cancellations, and any eligible refunds will remain subject to the Privacy Policy, applicable provider rules, and applicable law.

Nothing in this section limits mandatory rights or remedies available to users.

14. Third-party services

The Services may depend on third-party platforms, payment providers, hosting services, software libraries, authentication services, analytics tools, or app stores.

Those services may be governed by their own terms and privacy policies. VyroIQ is not responsible for independent third-party services to the extent that responsibility may lawfully be excluded, but this does not exclude any responsibility that applicable law places on VyroIQ.

Your use of third-party services remains subject to the terms applicable to those services.

15. Limitation of liability

To the extent permitted by applicable law, VyroIQ will not be liable for indirect, incidental, special, exemplary, or consequential losses arising from use of the Services, including loss of profits, business opportunities, or data, where such losses are legally excludable.

To the extent permitted by applicable law, VyroIQ's liability for direct losses arising from a claim relating to the Services will be limited to an appropriate amount determined under the final published terms and applicable law.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence where such exclusion is prohibited, death or personal injury where liability cannot lawfully be excluded, mandatory consumer remedies, or any other liability that cannot be excluded or limited by law.

The monetary liability cap must be finalized before publication. It should be reviewed for enforceability under Indian law and the consumer-protection laws applicable to the relevant user.

16. Indemnification

To the extent permitted by applicable law, you may be responsible for losses, claims, or reasonable costs arising directly from your unlawful use of the Services, infringement of another person's rights, or material breach of these Terms.

Any indemnification obligation will apply only to the extent legally enforceable and will not remove consumer rights or protections that cannot be waived.

17. Changes to the Services and these Terms

VyroIQ may update these Terms to reflect changes in its Services, products, payment arrangements, security requirements, or applicable law.

Where a change is material, we will provide notice or seek renewed consent where required by applicable law. The updated Terms will identify the date of the latest revision.

Your continued use of the Services after the effective date of an update will constitute acceptance only to the extent such acceptance is legally valid and sufficient under applicable law. Where affirmative consent is required, we will obtain it.

18. Governing law and disputes

These Terms are governed by the laws of India, subject to any mandatory consumer-protection or other legal provisions that apply in the user's jurisdiction.

Disputes will be addressed in accordance with applicable Indian law and the competent courts having jurisdiction in Ahmedabad, Gujarat, where legally appropriate.

Nothing in this section prevents a user from exercising mandatory rights to bring a complaint or claim before a competent authority, tribunal, or court where applicable law permits or requires it.

19. General provisions

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

A failure or delay in enforcing a provision does not automatically constitute a waiver of that provision.

These Terms, together with the applicable Privacy Policy and any additional purchase or warranty terms presented to you, govern your use of the Services. Where a specific purchase term conflicts with these Terms, the applicable term will be interpreted consistently with mandatory law and the expressly disclosed terms of that purchase.

You may not transfer your account or rights under these Terms to another person without authorization. VyroIQ may transfer its rights and obligations as part of a lawful corporate reorganization or business transfer, subject to applicable law.
